Terms and Conditions
Last updated 9/10/2026
Effective Date: September 10th, 2026
VenueZoo, LLC ("VenueZoo," "we," "us," or "our") operates the VenueZoo website and platform (the "Service"), which connects individuals and organizations planning events with venues and event-service businesses. These Terms and Conditions ("Terms") govern your access to and use of the Service, including as a Property Owner, Venue Manager, Venue Scout, Service Provider, or Venue Explorer. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using the Service in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
2. Eligibility and Account Registration
2.1 Account Types
The Service supports several account types, each with its own role and permissions:
- Property Owner -- registers and manages one or more properties and their bookable venues.
- Venue Manager -- manages venue listings on behalf of a Property Owner.
- Service Provider -- lists an event-services business (such as catering, photography, entertainment, or rentals) for discovery by Venue Explorers.
- Venue Scout -- participates in VenueZoo's referral program by referring new Property Owners or Service Providers to the Service.
- Venue Explorer -- browses, searches, and contacts listed venues and Service Providers when planning an event.
2.2 Account Accuracy and Security
You agree to provide accurate, current, and complete information when creating an account, to keep that information up to date, and to keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.
2.3 Age Requirement
The Service is not directed to, and is not intended for use by, individuals under the age of 18. By using the Service, you represent that you are at least 18 years old.
3. The Service and Our Role
3.1 Description of the Service
VenueZoo operates a commission-free platform that connects Venue Explorers with Property Owners, Venue Managers, and Service Providers. VenueZoo's role is to facilitate discovery and initial contact between these parties; VenueZoo does not itself provide venues, event services, catering, entertainment, or any other service listed on the Service.
3.2 No Party to Bookings or Transactions
VenueZoo is not a party to, and assumes no responsibility for, any booking, contract, payment, or other transaction or agreement entered into between a Venue Explorer and a Property Owner, Venue Manager, or Service Provider. Any such arrangement is solely between those parties, who are each responsible for their own conduct, representations, pricing, cancellation terms, and performance.
3.3 No Guarantee of Availability, Quality, or Outcome
VenueZoo does not guarantee the availability, accuracy, quality, safety, or legality of any venue or service listed on the Service, nor the ability of any Property Owner, Venue Manager, or Service Provider to actually deliver what is advertised. You are solely responsible for evaluating any listing and any party you choose to engage with through the Service.
4. Listings and Content
4.1 User-Submitted Content and License Grant
By submitting photos, descriptions, reviews, or other content to the Service ("User Content"), you grant VenueZoo a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that User Content solely in connection with operating, promoting, and improving the Service. You represent that you own or have the necessary rights to submit your User Content, and that it does not infringe any third party’s rights.
4.2 Accuracy of Listings
Property Owners, Venue Managers, and Service Providers are solely responsible for the accuracy and completeness of their own listings, including pricing, capacity, availability, photos, and descriptions, and agree to keep this information current.
4.3 Content Moderation
VenueZoo uses a combination of automated, AI-assisted screening and manual human review to moderate listings and User Content submitted to the Service. VenueZoo may reject, remove, or request changes to any listing or User Content, at its discretion, that it believes violates these Terms or is otherwise inappropriate, without prior notice.
5. Fees, Subscriptions, and Payments
5.1 Commission-Free Model
VenueZoo does not charge Property Owners, Venue Managers, or Service Providers a commission or percentage fee on bookings arranged through the Service. Revenue is instead generated through paid subscription plans described below.
5.2 Subscription Plans and Billing
Certain features of the Service are available only through a paid subscription plan. Paid subscriptions are billed through our third-party payment processor, Stripe, on a recurring basis (monthly or annual, as selected) until cancelled. You authorize VenueZoo and Stripe to charge your chosen payment method for all applicable fees.
5.3 Cancellations and Refunds
You may cancel a paid subscription at any time through your account dashboard. VenueZoo provides advertising exposure and listing services on an ongoing basis for each billing period you've paid for, and once a billing period has begun, that service has been rendered. Accordingly, VenueZoo does not offer refunds, in whole or in part, for any current or already-paid billing period, whether billed monthly or annually. When you cancel, your paid plan and its features remain active through the end of the term you've already paid for — for monthly subscriptions, through the end of that billing month; for annual subscriptions, through the end of that paid year — after which your account reverts to the Free plan and no further charges occur.
5.4 Venue Scout Referral Payouts
Venue Scouts who refer new paying Property Owners or Service Providers to the Service may be eligible for a referral payout, subject to the terms of the Venue Scout program as posted in-product from time to time. Payouts are issued through a third-party payout platform and may require you to submit tax documentation (such as a Form W-9) before payment. VenueZoo reserves the right to modify, suspend, or terminate the Venue Scout program, or any individual Venue Scout's participation in it, at its discretion.
6. User Conduct
You agree not to:
- Post false, misleading, or fraudulent listings, reviews, or account information.
- Use the Service to harass, threaten, or discriminate against another user.
- Attempt to circumvent the Service in order to avoid applicable fees, such as by moving an initial contact off-platform specifically to bypass a paid feature.
- Scrape, crawl, or use automated means to extract data from the Service without prior written consent.
- Upload content that infringes another party’s intellectual property or violates any applicable law.
- Interfere with or disrupt the operation of the Service, including through malware, denial-of-service attacks, or unauthorized access attempts.
VenueZoo may suspend or terminate any account that violates this section, in its discretion and without prior notice.
7. Reviews and Ratings
Reviews and ratings submitted through the Service must reflect the reviewer’s genuine experience. You agree not to submit, solicit, or compensate anyone for a fake, incentivized, or manipulated review, and not to submit reviews for a business you own, manage, or are otherwise affiliated with. VenueZoo may remove any review that violates this section or that it otherwise determines, in its discretion, to be inauthentic.
8. Intellectual Property
The Service, including its design, text, graphics, logos, and underlying software (excluding User Content), is owned by VenueZoo or its licensors and is protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, or create derivative works based on the Service without VenueZoo's prior written consent.
9. Disclaimers and Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VENUEZOO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENUEZOO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION OR DEALING WITH A PROPERTY OWNER, VENUE MANAGER, OR SERVICE PROVIDER. VENUEZOO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID VENUEZOO IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless VenueZoo and its officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your dealings with any other user of the Service.
11. Termination
You may stop using the Service and close your account at any time. VenueZoo may suspend or terminate your account, or your access to all or part of the Service, at any time, with or without notice, including for conduct that VenueZoo believes violates these Terms or is otherwise harmful to the Service or other users.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws principles.
Agreement to Arbitrate. You and VenueZoo agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (a "Dispute") will be resolved through binding individual arbitration rather than in court, except that (a) either party may bring an individual action in small claims court for qualifying disputes, and (b) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or misuse of a party's intellectual property or confidential information.
Arbitration Provider and Rules. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at adr.org), except where those rules conflict with these Terms, in which case these Terms control. The arbitration will be conducted by a single arbitrator and, consistent with AAA's rules, may proceed by video conference, telephone, or submission of documents, or in person in Ada County, Idaho, at the arbitrator's discretion.
Fees. Arbitration fees will be allocated according to the AAA's Consumer Arbitration Rules, under which VenueZoo bears the greater share of administrative and arbitrator costs for consumer disputes.
Class Action Waiver. You and VenueZoo may each bring Disputes only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular Dispute, the arbitration agreement will not apply to that Dispute, and it must instead be brought in the courts identified below.
Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms, stating your name and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor VenueZoo will be required to arbitrate Disputes with each other, but all other provisions of these Terms will remain in full effect.
Venue. For any Dispute not subject to arbitration, you and VenueZoo consent to the exclusive jurisdiction and venue of the state and federal courts located in Ada County, Idaho.
13. International Users
The Service is hosted and operated in the United States and currently operates primarily in the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
14. Changes to These Terms
VenueZoo may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
